How Vantage Capital Deployed R635 Million Into Commercial Energy South Africa

Posted on March 3, 2026 By Africa Digest News No Comments on How Vantage Capital Deployed R635 Million Into Commercial Energy South Africa

Vantage Capital has invested R635 million (approximately US$39.5 million) in Commercial Energy South Africa (CESA), a subsidiary of SolarAfrica, through a mezzanine debt facility.

The transaction, completed in February 2026, was executed in partnership with co-investor Greenpoint Capital and facilitated the full exit of Inspired Evolution from CESA. As a result, SolarAfrica now holds 100% ownership of the company.

CESA serves as the holding entity for SolarAfrica’s portfolio of rooftop solar photovoltaic systems and battery energy storage assets deployed at commercial and industrial client sites across South Africa.

The investment enables SolarAfrica to strengthen its balance sheet, accelerate portfolio growth, and continue delivering reliable clean-energy solutions to businesses.

Overview of Commercial Energy South Africa (CESA)

CESA operates as the primary vehicle for SolarAfrica’s commercial and industrial (C&I) energy solutions. The company provides a comprehensive suite of services to businesses seeking to reduce electricity costs, secure a reliable power supply, and lower their carbon footprint. Key offerings include:

  • Solar photovoltaic (PV) systems deployed on client rooftops.
  • Battery energy storage systems for load shifting and backup power.
  • Energy trading and optimisation services.
  • Electricity wheeling arrangements to facilitate renewable energy procurement.
  • Gas-to-power solutions as a complementary technology.

The CESA portfolio aggregates contracted power generation and storage assets that generate predictable, long-term cash flows backed by power purchase agreements (PPAs) with creditworthy corporate and industrial off-takers.

These contracts provide visibility and stability, making the assets attractive for structured financing.

Transaction Structure and Strategic Alignment

The R635 million mezzanine facility was structured to provide flexible, subordinated debt capital that supports SolarAfrica’s growth objectives while allowing the exit of Inspired Evolution.

Mezzanine financing occupies a position between senior debt and equity, offering lenders higher yields in exchange for greater risk exposure and upside participation.

Vantage Capital’s GreenX division, which specialises in renewable energy and climate-focused investments, structured the facility to align with the company’s expertise in the power sector.

The transaction was completed under tight timelines, demonstrating efficient execution by all parties.

Roshal Ramdenee, Partner at Vantage Capital, stated:
“This transaction reflects our conviction in distributed energy infrastructure and the strength of SolarAfrica’s platform. CESA’s contracted C&I solar and battery portfolio provides predictable cash flows and supports South Africa’s shift to reliable and sustainable power. We look forward to working closely with SolarAfrica and Greenpoint as the platform continues to scale.”

Warren van der Merwe, Managing Partner at Vantage Capital, added:
“Vantage has provided senior debt to a number of renewable energy projects through its GreenX division. We are pleased to showcase in this deal how mezzanine finance can play a part in the rapidly evolving power sector. Congratulations to Charl and his team for driving a super-efficient process that allowed us to close this deal under very tight timelines.”

Nic van Zyl, Chief Investment Officer at Greenpoint Capital, commented:
“We are pleased to have finalised this transaction in support of the SolarAfrica team, whose progress we have followed for many years. We look forward to collaborating with Vantage Capital on this high-quality solar asset.”

Implications for South Africa’s Renewable Energy Sector

The investment strengthens SolarAfrica’s ability to:

  • Expand its portfolio of rooftop solar and battery storage deployments.
  • Accelerate deployment of additional clean-energy capacity for C&I clients.
  • Maintain service quality and reliability for existing customers.
  • Pursue further growth opportunities in energy trading, wheeling, and hybrid solutions.

South Africa’s C&I segment remains a critical area for renewable energy adoption, driven by persistent load-shedding, rising electricity tariffs, and corporate sustainability commitments.

CESA’s contracted assets provide a stable foundation for continued expansion in this market.

The transaction also demonstrates the growing role of mezzanine finance in bridging funding gaps for renewable energy platforms.

By offering subordinated capital, providers such as Vantage Capital enable developers to retain control while accessing growth funding without excessive dilution.

Future Outlook

Vantage Capital’s R635 million mezzanine investment in Commercial Energy South Africa (CESA) enables SolarAfrica to fully consolidate ownership, exit a previous investor, and accelerate the growth of its rooftop solar and battery storage portfolio.

The facility supports a high-quality, contracted asset base that delivers predictable cash flows and contributes to South Africa’s transition to reliable, sustainable power.

This transaction highlights the increasing relevance of flexible financing structures in scaling distributed energy infrastructure.
