Phatisa, through its African Innovation Food Fund 3 (PFF 3), has reached an agreement to acquire Zaad, a South Africa-headquartered investment holding company focused on the agricultural inputs sector.
The transaction, announced in February 2026, marks the inaugural investment of PFF 3 and is executed alongside a consortium of co-investors: the Public Investment Corporation (PIC), the Industrial Development Corporation (IDC), and Women Investment Portfolio Holdings (Wiphold).
Zaad operates across the full agri-inputs value chain, encompassing seed research and breeding, large-scale production, and distribution of forage, field, and vegetable seeds.
The company also provides crop protection solutions and maintains operational and commercial networks in multiple African markets.
The deal includes an additional capital injection to enable Zaad to secure a majority stake in East Africa Seeds Group, further strengthening its regional footprint.

Transaction Structure and Strategic Alignment
The acquisition positions Zaad as a flagship investment under PFF 3, which targets established businesses with strong fundamentals and opportunities for expansion or ownership transitions within the food value chain.
The fund excludes primary agriculture production but focuses on scalable enterprises in agri-inputs and downstream activities.
Zaad’s executive leadership team will retain a significant shareholding through a long-term incentive arrangement designed to align interests and drive sustainable growth. This structure ensures continuity of management expertise while providing incentives for value creation.
Imane El Alaoui-Grollemund, Partner at Phatisa, stated: “Zaad represents exactly the kind of business we aim to support through Food Fund 3, an enterprise deeply integrated into the food value chain, commercially resilient, and committed to delivering solutions that meaningfully strengthen agricultural productivity and climate resilience. We are delighted to make Zaad the inaugural investment of the fund.”
Antonie Jacobs, CEO of Zaad, commented, “Backed by Phatisa and its partners, we are excited to accelerate our growth trajectory across Africa. This partnership will allow us to invest even more in research and innovation and to broaden access to hybrid, climate-smart and disease-resistant seed varieties that help improve outcomes for farmers and enhance the resilience of food systems.”

Co-Investor Consortium and Shared Objectives
The transaction is supported by a consortium of prominent South African institutional investors:
- Public Investment Corporation (PIC): South Africa’s state-owned asset manager, focused on long-term value creation and economic development.
- Industrial Development Corporation (IDC): The national development finance institution, prioritising industrialisation, job creation, and inclusive growth.
- Women Investment Portfolio Holdings (Wiphold): An investment firm dedicated to broad-based women’s economic empowerment and sustainable enterprise development.
This group of co-investors brings not only capital but also strategic alignment with national development priorities, including food security, agricultural productivity, and climate resilience.
The consortium structure enhances the transaction’s credibility and provides Zaad with access to a broad network of expertise and resources.
Implications for Africa’s Food Value Chain
Zaad’s integration into PFF 3 supports the fund’s mandate to invest in businesses that combine strong commercial fundamentals with measurable impact.
The company’s focus on hybrid, climate-smart, and disease-resistant seed varieties directly addresses key challenges in African agriculture, including low yields, climate variability, and limited access to improved inputs.
The additional capital injection for the East Africa Seeds Group stake strengthens Zaad’s regional presence and supports broader availability of quality inputs to smallholder and commercial farmers.
This positions the business to contribute meaningfully to food system resilience, productivity enhancement, and sustainable livelihoods across multiple markets.
The transaction remains subject to customary regulatory approvals and satisfaction of conditions precedent.
Upon completion, it will serve as a benchmark investment demonstrating the viability of impact-aligned private equity in Africa’s agri-inputs sector.
Future Outlook
Phatisa’s acquisition of Zaad represents a deliberate and strategic first investment under Food Fund 3, executed alongside a credible consortium of South African institutional investors.
The deal aligns with the fund’s focus on scalable, commercially resilient businesses that strengthen agricultural productivity and climate resilience within the food value chain.
By combining capital, technical expertise, and aligned incentives, the transaction positions Zaad to accelerate innovation, expand regional reach, and deliver enhanced outcomes for farmers and food systems across Africa.
The agreement remains subject to regulatory approvals. For the most current status and transaction details, refer to official announcements from Phatisa, Zaad, or the co-investors.
